Terms and Conditions
Introduction
These Terms and Conditions ("Agreement") govern the provision of digital marketing services by Invictus Digital ("we", "us", or "the Agency") to the client ("you" or "the Client"). By engaging our services, you agree to be bound by these terms. Please read them carefully.
1. Services
1.1 Invictus Digital agrees to provide the Client with digital marketing services as outlined in the proposal or service agreement.
1.2 The scope of services, timelines, and deliverables will be detailed in a separate project proposal or agreement provided to the Client.
1.3 Any additional services requested by the Client outside the agreed scope will be subject to additional fees and timelines.
2. Payment Terms
2.1 All fees and costs associated with the services will be outlined in the proposal or service agreement provided to the Client.
2.2 Payment is due as specified in the proposal.
2.3 Failure to make payments by the agreed deadlines may result in the suspension of services until payment is received.
2.4 The Client agrees to cover any additional costs related to third-party services such as advertising spend, software licences, or media purchases, unless otherwise stated.
3. Client Obligations
3.1 The Client agrees to provide all necessary information, materials, and approvals in a timely manner to ensure the smooth progression of services.
3.2 The Client is responsible for ensuring that all materials provided (e.g. images, text) are legally owned or licensed and do not infringe upon the intellectual property rights of any third party.
3.3 The Client acknowledges that any delay in providing required information or approvals may impact the agreed timelines.
4. Intellectual Property
4.1 All materials created by Invictus Digital, including but not limited to, graphics, content, and strategies, remain the intellectual property of the Agency until full payment is received.
4.2 Upon full payment, the Client is granted a non-exclusive licence to use the materials for their intended purpose.
4.3 Invictus Digital reserves the right to showcase the work created for the Client in its portfolio and marketing materials unless the Client requests otherwise in writing.
5. Confidentiality
5.1 Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the project.
5.2 Invictus Digital will not disclose or use the Client’s confidential information for any purpose other than the provision of agreed services.
6. Liability
6.1 Invictus Digital will perform services to the best of its ability but cannot guarantee specific results, including search engine rankings, social media engagement, or sales conversions.
6.2 Invictus Digital shall not be liable for any indirect, consequential, or incidental damages arising out of the performance of services.
6.3 The total liability of Invictus Digital for any claim arising from the agreement shall not exceed the total amount paid by the Client for services rendered.
7. Termination
7.1 In the event of termination by the Client, the Client will be responsible for payment of all services rendered up to the date of termination, as well as the remainder of the agreed & signed contract.
7.3 Invictus Digital reserves the right to terminate the Agreement immediately if the Client breaches any of the terms and conditions outlined in this Agreement.
8. Amendments
8.1 Invictus Digital reserves the right to update or modify these Terms and Conditions at any time.
8.2 The Client will be notified of any changes, and continued use of services following such changes will be deemed acceptance of the updated terms.
9. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the United Kingdom, and any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the courts of the United Kingdom.
10. Force Majeure
Invictus Digital shall not be liable for any delay or failure to fulfil its obligations due to circumstances beyond its reasonable control, including but not limited to natural disasters, strikes, or acts of war.
11. Entire Agreement
This Agreement, along with any associated project proposals or service agreements, constitutes the entire agreement between Invictus Digital and the Client, superseding any prior agreements or understandings.
